Terms of Services

Terms of Service

These Terms of Service (“Agreement”, “Terms”) constitute a legally binding agreement between you (“User”, “you”, “your”) and Marketplaced (“Company”, “we”, “our”, “us”) regarding your access to and use of our platform, including but not limited to our website, mobile application, subdomains, APIs, widgets, tools, software, and other services provided or controlled by Marketplaced (collectively, the “Platform”).

PLEASE READ THIS AGREEMENT CAREFULLY BEFORE ACCESSING OR USING OUR PLATFORM. BY USING THE PLATFORM, YOU AGREE TO BE BOUND BY THESE TERMS. IF YOU DO NOT AGREE, YOU MAY NOT ACCESS OR USE THE PLATFORM.

Eligibility and User Representation

To access and use the Platform, you must:

Be at least 18 years old or the age of majority in your jurisdiction.
Have full legal capacity and the authority to enter into this Agreement.
Not be a person barred from using the Platform under any applicable law or regulation.
Not use our services if previously banned, suspended, or terminated.

By registering, you represent and warrant that the information provided is accurate, current, and complete.

Scope of Services

Marketplaced provides digital escrow and transaction facilitation services, including:

Holding funds in trust until specific conditions are met
Dispute resolution mechanisms
Transaction tracking and auditing tools
Payment integrations (QRIS, bank transfers, e-wallets, etc.)
Notifications for transactional milestones

We do not provide banking, investment, or legal advisory services.

Account Registration & Security

To use certain features, you must create an account and may be required to submit:

Full legal name
Phone number and email
National identification or taxpayer information
KYC documents (e.g., photo ID, selfie, utility bill)

You are responsible for safeguarding your credentials and for any activity under your account. Marketplaced is not liable for losses due to unauthorized access caused by your negligence.

Verification and Compliance

We may collect, verify, and store identity data to comply with:

Know Your Customer (KYC)
Anti-Money Laundering (AML)
Counter-Terrorism Financing (CTF)
Bank Indonesia (BI) and OJK regulations
FATF international standards

Failure to comply may result in denial of service, suspension, or legal reporting.

Prohibited Activities

You agree not to use the Platform to:

Engage in fraud, deception, or misrepresentation
Violate any law, regulation, or third-party right
Launder money or fund illegal activities
Circumvent escrow conditions
Post or distribute malicious content (e.g., viruses, spyware)
Exploit platform vulnerabilities or scrape data without authorization

Violation may result in permanent ban, legal action, and fund seizure.

Escrow Mechanics

All transactions using Marketplaced are subject to:

Mutually agreed-upon terms between parties
Confirmation from both buyer and seller
Verification of item/service delivery
Time limits for dispute initiation

Funds held in escrow are non-interest-bearing and released based on conditions agreed via Platform interface.

Dispute Resolution

Disputes may be submitted via the built-in system. Marketplaced reserves the right to:

Review evidence submitted by both parties
Request additional proof (e.g., receipts, tracking data)
Make binding determinations at our sole discretion
Freeze or release escrow funds accordingly

All decisions are final and binding unless reversed by competent legal authority.

Fees and Pricing

Use of the Platform may incur:

Escrow fees (percentage-based or flat)
Currency conversion fees
Withdrawal or transfer fees
Penalty fees for violation of terms

All fees are disclosed transparently before confirmation. You are solely responsible for taxes arising from your use of the Platform.

Third-Party Services

Marketplaced may integrate with third-party providers (payment gateways, logistics, verification services). You acknowledge:

We do not control third-party terms, availability, or data practices
We are not responsible for third-party failures
Use of such services is at your own risk

Data Privacy and Protection

Your data is processed in accordance with our Privacy Policy. We implement strong safeguards, including:

TLS encryption
Secure cloud storage
Access controls
Regular audits

However, no system is 100% secure. You acknowledge the inherent risk of data transmission over the Internet.

Platform Availability

We strive for 99.9% uptime but do not guarantee uninterrupted service. Maintenance, upgrades, outages, or force majeure events may cause temporary unavailability.

Intellectual Property

All content on the Platform (e.g., logos, code, UI/UX, documentation) is owned by Marketplaced or its licensors. You may not:

Copy, modify, or reverse-engineer our systems
Use our trademarks without permission
Create derivative works or mimic platform functionality

Termination

We may suspend or terminate your account immediately if:

You breach these Terms
You engage in illegal or abusive behavior
Required by law or regulatory directive

Upon termination, your access will cease and any pending transactions may be frozen or canceled.

Limitation of Liability

To the fullest extent permitted by law, Marketplaced shall not be liable for:

Loss of profits, goodwill, or data
Indirect, consequential, or incidental damages
Delays, system errors, or unauthorized access
Third-party fraud or misconduct

Our total liability shall not exceed the fees paid to Marketplaced in the 6 months prior to the incident.

Indemnification

You agree to defend, indemnify, and hold harmless Marketplaced and its affiliates from all claims, losses, damages, and legal fees arising from:

Your misuse of the Platform
Violation of laws or third-party rights
Breach of these Terms

Force Majeure

We shall not be liable for any failure to perform due to events beyond our control, including but not limited to:

Natural disasters
War or terrorism
Power outages
Internet service disruptions
Governmental actions

Amendments

Marketplaced may amend these Terms at any time. Updated versions will be posted on the Platform. Continued use of the Platform constitutes acceptance of the revised Terms.

Governing Law and Jurisdiction

These Terms are governed by the laws of the Republic of Indonesia. Any disputes shall be settled in the courts or arbitration boards designated by Marketplaced, located in Jakarta, Indonesia.
